inFlow Inventory acceptable use policy

  1. SummaryThis Acceptable Use Policy (this “policy“) establishes the acceptable use requirements for the inFlow® services and related software (apps) made available by Archon Systems Inc.  (“Archon“).  Archon may revise this policy from time-to-time in its sole discretion, and any revisions will be posted on our website.  Notice of any revision will made in accordance with the agreement pertaining to your inFlow® account.
  2. Scope and ApplicationThis policy applies to all users.  Any person who accesses or uses the inFlow Inventory™ Services or inFlow Inventory On-Premise™  is a “user“.   A “person” includes any individual, person, estate, trust, firm, partnership or corporation, company, government or any agency or ministry or division of any government, and includes any successor to any of the foregoing.  Where the word “including” or “includes” are used it ‘means including but not limited to” or ‘including without limitation’.
  3. AccountabilityEach person that has subscribed to access and/or use Archon’s products or services and in particular inFlow Inventory™ Services or inFlow Inventory On-Premise™  is a “Customer“, and is responsible for:

    1. Complying with, and ensuring that its users comply with, the agreement(s) and terms and conditions applicable to the products or services it has subscribed for or purchased from Archon;
    2. Any access or use of such products or services made by any user that has obtained (or created in accordance with documentation related thereto)  passwords, secure tokens, digital certificates and any other identifiers (“credentials“) to access or use such products, services or technology infrastructure from or through that Customer or at the direction of that Customer;
    3. Reviewing all activities of its users with access to the products, services or technology infrastructure at least annually; and
    4. Maintaining (update/suspend/revoke/reinstate) its users’ access to the products and/or services (e.g., revoking access when it is no longer required or authorized for a user).
  4. Acceptable UseUsers are permitted to use the inFlow Inventory™ Services or inFlow Inventory On-Premise™  of Archon solely for the purposes authorized in the applicable agreement pursuant to which Archon provides the Customer with inFlow Inventory™ Services or inFlow Inventory On-Premise™.
  5. Inappropriate and Unacceptable UsesUsers must not use the inFlow Inventory™ Services,  including its related products, services and technology infrastructure made available by Archon,  or inFlow Inventory On-Premise™, in any manner that constitutes an inappropriate or unacceptable use, including:

    1. In violation of the agreement(s) between Customer and Archon;
    2. The creation, collection, transmission, storage or exchange of any material in violation of applicable laws, regulations, governmental orders or decrees;
    3. The collection, transmission, storage or exchange of sensitive personal data of a natural person including health or confidential national identification numbers / identifiers (e.g., health card numbers, national insurance numbers, social insurance numbers, social security numbers, passport numbers etc.); revealing racial or ethnic origin, political opinions, religious or philosophical beliefs;   trade-union membership;  genetic data, biometric data processed solely to identify a human being;   health-related data; or data concerning a natural person’s sex life or sexual orientation;
    4. Accessing, displaying, storing, downloading or transmitting any content which is offensive;
    5. Defaming, promoting hatred or harassing other persons;
    6. Accessing, using, collecting, destroying, encrypting, altering or disposing of information in violation of any applicable laws;
    7. Making, possessing or distributing computer programs that are designed to assist in obtaining access to computer systems in violation of applicable laws, including malware or other malicious software;
    8. Possessing, viewing, downloading, transmitting or storing any pornography, or any involvement whatsoever with the traffic of such material;
    9. Using another user’s credentials, including to engage in any activity in violation of applicable laws;
    10. Breaching intellectual property rights of others (e.g., breaching software licences or using content owned by others without proper licence or consent);
    11. Wilfully bypassing or subverting any physical, logical or procedural safeguards used by Archon or any other person, such as firewalls or other access controls;
    12. Attempt to harm or destroy the information of another user, the Internet or other networks, including through the use of malware or other malicious software;
    13. The sending of unwanted email or unsolicited commercial or advertising material to any other person, including spam or other bulk messaging;
    14. Deliberate unauthorised access to information, facilities or services accessible through the Archon’s infrastructure, products or services;
    15. Unauthorised  collection, use, disposal, destruction, encryption, alteration or disclosure of any personal information or personal data in violation of applicable laws;
    16. Sending anonymous messages or impersonating any other person;
    17. Selling, sharing or otherwise redistributing Archon products or services;
    18. Any other activity that may expose Archon to civil or criminal liability.
  6. Security
    1. Each user must ensure that any credentials issued to, or created by, that user are kept confidential and protected from unauthorized use or disclosure.
    2. Each Customer’s user must immediately notify that Customer if they suspect or know that any credentials have been, or may be, breached or compromised.
    3.  Customers that suspect or know that any credentials have been or may be breached or compromised must immediately notify Archon.
  7. Violations of this Policy
    1. Users and Customers must promptly report all breaches of this policy of which they are aware to Archon.
    2. Archon may report breaches of this policy committed by any user to the Customer responsible for that user’s actions.
    3. Archon reserves the right to investigate suspected breaches of this policy, and all users and Customers will cooperate when asked to assist in any such investigation.
    4. Customers will cooperate with Archon in the management of breaches of this policy.  This responsibility includes assisting with the development and distribution of communications regarding breaches or incidents.
    5. Archon may, in its sole discretion, suspend or revoke a user’s access to the products, services, or infrastructure of Archon should such user breach this policy.
    6. Although Archon is not obligated to monitor content, and assumes no responsibility for any information or material that is stored or transmitted by users of the products, services or technology infrastructure made available by Archon, or the Internet, Archon reserves the right, subject to all applicable laws, to investigate content stored on, posted to or transmitted over its technology infrastructure, and may block access to, refuse to post, or remove any information or material that it deems to be in breach of this policy.
    7. Archon assumes no liability for enforcing or not enforcing this policy, and any failure by Archon to enforce any part of this policy will not constitute a waiver by Archon to enforce any right or obligation in this policy at any time.
    8. Breaches by a user of this policy may result in criminal prosecution or civil liability.
    9. If any provision of this policy is found to be invalid or unenforceable, then that provision will be enforced to the extent permissible, and all other provisions will remain in full force and effect.
